On March 28, 2003, HSBC Finance Corporation (formerly Household International, Inc.) was acquired by HSBC Holdings, plc. As a result, HSBC Finance's common shareholders were able to elect to receive 2.675 HSBC ordinary shares (LSE:HSBA) or 0.535 HSBC American Depositary Shares (NYSE:HBC) for each share of HSBC Finance common stock. HSBC Finance has wholly-owned subsidiary trusts which have issued preferred securities. Payments on these preferred securities are guaranteed by HSBC Finance.
